Breaking down the terms and conditions of Saudi Arabia’s 30-year, RHQ Tax Exemption Program.
In December 2023, Saudi Arabia unveiled its tax incentive program to attract foreign companies to establish their regional headquarters within the Kingdom.
The official Umm Al-Qura Gazette has now published detailed terms and conditions of the program.
Here’s what you need to know:
Once companies apply for and receive their regional headquarters license they will be eligible for a zero percent income tax rate on corporate earnings and withholding taxes for 30 years in respect of headquarter activities income.
To be eligible for the tax exemption, companies must: • Hold a valid Ministry of Investment license. • Operate within the RHQ’s licensed activities. • Have appropriate assets and a suitable location in Saudi Arabia. • Meet operational expenses and generate revenues locally. • Employ a sufficient number of qualified full-time employees.
Non-compliance will result in fines of up to SR400,000 and possible suspension or cancellation of tax benefits.
The Zakat, Tax, and Customs Authority will conduct evaluations and audits to ensure compliance, and annual reports and other banking administrative criteria are required.
The clarity around the 30-year tax exemption was widely welcomed as a sign that the Saudi government welcomes foreign investment.
