The SEC won a default judgement on Friday against Sameer Ramani, who allegedly traded on information from a Coinbase insider.  The court found that the tokens he traded were investment contracts even though they traded on a secondary market because "[t]he promotional statements and managerial promises [made by the issuers] apply equally to tokens that an investor may have bought from the issuer directly or from another investor, including on a crypto asset trading platform." Here is why that might have a problem holding up.   https://lnkd.in/g7FDZB5W   The Court relies a Ninth Circuit case, Hocking v. Dubois, 885 F.2d 1449, assessing whether a broker who sold a condo to a buyer that contracted with rental services company for a “pooled operation” effectively sold an investment contract under Howey. So the buyer bought a condo, which itself isn’t a security, and contracted with a rental services operator to make a profit in a rent pooling arrangement. There would have been no serious question if the condo was sold by the developer together with the rental agreement which pooled rents and distributed them. That would have been an investment contract under Howey.   But what if neither the broker nor the seller was a counterparty to the rental pooling agreement? The court in Hocking found that the broker sold an investment contract anyway. And so, the court in Ramani's case uses that to find that a seller who sells a token in a secondary market is selling an investment contract if the token issuer is separately promising to make the token more valuable. But the facts in Hocking differ considerably from Ramani's situation. How?   Hocking, the condo buyer, showed that the rental pooling agreements were presented to him as part of the condo sale transaction to induce the sale. The court wrote: "These facts distinguish this case from the everyday situation where a real estate agent or broker merely provides information to the purchaser regarding the availability of a rental pool…or broker arranges for a rental pool." Did Ramani woo his buyers with the investment promises of the token issuers? Did he induce them with collateral materials? Did the people selling tokens to Ramani induce him to buy by touting the token issuers promises of profits? No, Ramani bought and sold them on crypto exchanges and presumably never met the buyers or sellers.   The Hocking court emphasizes in a footnote: "We agree with [previous precedent] that whether the transaction can be considered an investment contract depends upon whether the sale and the offering of management services form parts of what is 'essentially one transaction.’" However, the court thought that the broker effectively made it one transaction when the broker touted the rental pooling agreement to induce the buyer.
