QSBS saves shareholders from capital gains — but it  is not about investors.

QSBS drives capital and talent to the innovation ecosystem—driving economic growth, job creation, and the industries of tomorrow.

Everyone focuses on the investor implications. And sure they benefit from it. But to me, QSBS is about talent.  QSBS incentivizes talent to start companies, join startups, to build. That is what we want, what we need.

The best way to reward talent is not only maintaining QSBS treatment, but increasing its asset limit. Raising the asset limit from $50M to $150M would benefit all stakeholders—but it would disproportionately benefit employees. Investors' share of QSBS eligible stock would increase ~10%.  Employee-owners of QSBS would increase by 40%.

Policy is infrastructure.  Let’s build a policy framework that unleashes innovation.  Raising QSBS asset level helps.

🚨 𝗡𝗲𝘄 𝗣𝗼𝗹𝗶𝗰𝘆 𝗜𝗻𝘀𝗶𝗴𝗵𝘁𝘀: 𝗤𝗦𝗕𝗦 & 𝗔𝗺𝗲𝗿𝗶𝗰𝗮'𝘀 𝗦𝘁𝗮𝗿𝘁𝘂𝗽 𝗘𝗰𝗼𝘀𝘆𝘀𝘁𝗲𝗺

Our latest Carta Policy Insights examines the Qualified Small Business Stock (QSBS) tax exclusion. QSBS drives capital and talent to startups and growth-stage companies—the engines for U.S. innovation, job creation, and economic growth.

𝗞𝗲𝘆 𝗧𝗮𝗸𝗲𝗮𝘄𝗮𝘆𝘀:

➤ Startups—especially those in tech space—are higher risk relative to peers.

➤ QSBS benefits all who support the innovation ecosystem — investors, founders, employee-owners

➤ Employee ownership is growing: We have seen a 362% increase in employees with QSBS shares on Carta's platform over a five year period.

➤ Increase the asset threshold above $50M will disproportionately benefit employee stakeholders

➤ We should expand QSBS eligibility to incentivize more capital and talent into this innovation and economic engine.
