THE FIX IS IN. While our latest DAMITT report highlights the record number of significant merger investigations ending in abandonments (a worthy subject!), it also calls out Global Partners/Gulf Oil, which appears to have been the first settlement of traditional merger concerns by either agency since 2022.
In that matter, the FTC cleared the sale of four petroleum terminals after the parties agreed to amend their agreement to drop a fifth terminal that raised competitive concerns under Section 7 of the Clayton Act. Reminiscent of fix-it-first remedies that largely went out of fashion years ago, the deal is a great example of cooperation to pragmatically resolve concerns short of litigation that appears to have largely flown under the radar.

U.S. antitrust authorities have been talking up abandonments this year. From the data, it is not hard to see why. Abandonments accounted for more than half of all U.S. significant merger investigations disclosed by the agencies in the first half of 2024, following a similar surge in 2023.
