Herb Kozlov is a seasoned Reed Smith partner with over 35 years of experience in advising clients on a diverse range of matters, including start-up ventures, multi-billion-dollar transactions, IPOs, private placements, and corporate disputes.

With particular expertise in FinTech, M&A, and Corporate Governance matters, Herb represents clients across various industries such as healthcare, retail, financial services, asset management, private equity, hospitality, media, and entertainment. He serves as an outside general counsel for public and private companies and holds director positions in multiple firms.

As the chair of the FinTech practice at Reed Smith, Herb provides counsel on structured finance and corporate transactions driving the digital transformation era. He offers extensive legal and business acumen to support private and publicly owned companies as well as family offices.

In terms of transactions, Herb has handled public and private mergers, acquisitions, and divestitures; corporate governance issues; private equity, capital markets, venture capital, and partnership transactions; as well as cross-border deals. His litigation experience includes defending shareholder class action and derivative claims, proxy contests, internal corporate investigations, shareholder disputes, and hostile tender offer litigation.

Notable matters Herb has been involved in include representing acquirers of asset management companies, handling billion-dollar-plus acquisitions of retail chains, and overseeing significant financing activities for FinTech companies and proprietary trading platforms. He also provides counsel to NYSE and NASDAQ listed companies on unsolicited acquisition proposals and advises boards of directors on shareholder proxy access matters.

Herb Kozlov obtained a Bachelor of Arts degree in English from Rutgers, The State University of New Jersey-New Brunswick, and a J.D. from New York University School of Law.
