Highlights

Earlier this week, RXO, Inc. announced Q2 2024 results. We delivered adjusted EBITDA; brokerage volume growth, both full truckload and LTL; and Brokerage gross margin at the high end of our guidance ranges.

We’re continuing to execute well in this soft freight market. We’re entering the third quarter with continued momentum, sustained multi-year brokerage market share gains, a Managed Transportation pipeline of greater than $1.6 billion dollars, and tangible progress on improving Last Mile profitability.

We expect to deliver strong earnings growth when the market inflects and look forward to closing the acquisition of Coyote in the first half of the fourth quarter.

Today, RXO announced that it has entered into a definitive agreement to acquire Coyote Logistics for $1.025 billion from UPS.   The transaction is expected to be immediately and significantly accretive to RXO’s adjusted diluted earnings per share and adjusted free cash flow.   This highly accretive acquisition creates scaled transportation leader. At closing, RXO will be the third-largest provider of brokered transportation in North America.

With the addition of Coyote, we are adding significant scale to the business, which positions us well to capitalize on the growth opportunity ahead of us in the $400 billion for-hire truckload market.
