CFO | I build the finance infrastructure that isn’t there yet | Emerging PE fund managers and post-PMF startups | CPA, Engineer, GP

Clean books tell you what happened. They don't tell you why it happened, whether it will keep happening, or whether the organization behind those numbers can run without you in the room for every decision.

I work with two kinds of clients, and it's the same problem both times.

𝗘𝗺𝗲𝗿𝗴𝗶𝗻𝗴 𝗳𝘂𝗻𝗱 𝗺𝗮𝗻𝗮𝗴𝗲𝗿𝘀. GPs who built a real track record with high-net-worth and family office capital and are now trying to raise institutionally. The strategy is real. The returns are real. And the capital isn't coming, because the operational picture an allocator needs to see doesn't exist yet. No fund administrator builds it. No accounting firm builds it. It has to be built before the financials mean anything.

𝗦𝘁𝗮𝗿𝘁𝘂𝗽𝘀 𝗽𝗮𝘀𝘁 𝗽𝗿𝗼𝗱𝘂𝗰𝘁-𝗺𝗮𝗿𝗸𝗲𝘁 𝗳𝗶𝘁. Same situation, different vocabulary. Revenue is real, the board wants numbers it can trust, and there has never been a finance function. Someone has to build the first one: the close, the controls, the reporting, the system that replaces the spreadsheet.

I spent ten years in semiconductor design before I touched a balance sheet, which is where I learned to think in systems: what breaks under pressure, what has to be true three moves ahead. I took that into finance and earned my CPA. Since then: CFO of a $200M AUM private equity firm, co-founder of a venture fund, two companies taken through their first GAAP audit, six accounting platforms selected or migrated, and a quarterly close cut from 30 days to 5.

I hire, train, and hand off. The point is to build something that runs without me.

I doubled my workouts in July because we were going to the beach with my brothers. 🏖️

And I switched over to a mostly protein diet.

Yes, I am competitive.

In addition to getting into better shape, my productivity increased.

When we got back to Austin, Dori said, “you can do another month of double workouts and dieting.”

Nah.

Then she reminded me, “there’s another beach trip coming in September.”

I’m in!!

"Lawyers are too expensive, I'd rather use the money to hire more developers."

Neglecting legal documentation can cause issues during due diligence.

Don't short-cut the process in the early stages thinking you can correct any errors when you raise more money (just because it works in the movies doesn't mean it will work for you).

Ensure that you have the minimum covered from a legal perspective:

✅ All necessary contracts are properly executed. - independent contractor and employee agreements - IP rights cleared and assigned to the company - customer agreements

✅ Compliance with state and federal government - incorporation documents - board resolutions

✅ SAFEs or Convertible Notes are signed and tracked internally - you'd be surprised how many angel investors do not keep a copy - some even won't sign 🤦‍♂️ - and make sure the terms are correct, Discount Rate <> Discount

🗝 The key is to hire a lawyer who works with startups.

Even though your cousin's sister-in-law's divorce lawyer may be a great guy, if he doesn't work with startups, it's not worth the friends and family discount.

Fund raising is hard enough. Don't complicate due diligence by neglecting your legal documents.
