The secret to due diligence.
If you are planning to sell your business, one of the biggest hurdles you will face is the dreaded due diligence request list.
Before discussing the risks involved in this part of the sale process, let’s cover the basics.
A due diligence request list is a simple document that outlines the information a prospective buyer needs to know about your business. It is organised into categories: financials, legal, operations, human resources, technology, sales, marketing, etc…Within each category, there will be a list of documents and materials they will request from you.
A due diligence request list will have a material impact on the outcome of your deal — whether it's price, terms, or a complete “no-go.”
Nervous yet?
Most of us have some blind spots. Yet we try to muddle our way through.
Most owners don’t realise that buyers need 100 reasons to say yes but only 1 or 2 to say no.
It happens all the time.
Imagine this scenario. Someone is interested in buying your business. You get excited. They've submitted an offer, and you can see life after the sale, away from the grind and handing over the keys. Then, after they provide everything, the buyer sees something that doesn’t sit well.
❌ Why were sales down in the last quarter? ❌ What happened to your head of operations? Why did they leave? ❌ We can see your margins are not as healthy as last year…
Red Flag City.
You can probably offer some good explanations with a list of rational reasons, but the seed of doubt is planted.
The momentum around the deal backs right off.
Then, after weeks of following up, they respond.
After reviewing the information you shared, we have decided not to proceed at this stage.
A red-hot deal has gone ice cold.
Maybe you keep going through the motions and move on to the next one, but the idea of selling for maximum value is probably a stretch.
You cannot skate around due diligence. You have to go through it.
And even very well-run companies struggle here.
My advice is to prepare your Deal Room Now. Give yourself the time and space to organise all those categories and gather the materials buyers need to see.
At AcquisitionHub, we share our pre-diligence checklist and process before any marketing materials go out. The process mirrors what we’ve received on our deals, so the awkwardness transpires with us instead of your buyer.
Get everything you need to sell your business successfully.
